1. Introduction and Acceptance of Terms

Welcome to Promptly Pay. These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "your") and Promptly Pay ("Promptly Pay," "we," "us," or "our"). By accessing or using our website, mobile application, and services (collectively, the "Services"), you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

PLEASE READ THESE TERMS CAREFULLY. If you do not agree to these Terms, you must not access or use our Services.

2. Description of Services

Promptly Pay provides an online platform that allows users to:

  • Upload invoices by taking or uploading a picture using our mobile application.
  • Utilize our AI-powered system to scan and parse invoice details from the uploaded images.
  • Link bank accounts securely via Plaid to enable check printing.
  • Provide an authorized signature, which Promptly Pay collects and securely stores, to be used for signing checks on your behalf.
  • Authorize Promptly Pay to print and mail checks to payees using your bank account information and authorized signature. Promptly Pay will never collect and transfer your funds to your biller.

2.1 Geographical Limitations

Promptly Pay's Services are available only within the United States and its territories. We mail checks to addresses located in the 50 U.S. states and U.S. territories, including but not limited to Puerto Rico, Guam, U.S. Virgin Islands, American Samoa, and the Northern Mariana Islands. We do not support mailing checks to international addresses outside of the United States and its territories.

Please note that Promptly Pay facilitates payments through check printing and mailing but does not directly debit your bank account.

3. Account Creation and User Responsibilities

3.1 Account Registration

To access features of our Services, you must create an account. You agree to:

  • Provide true, accurate, current, and complete information during registration.
  • Maintain and promptly update your account information to keep it accurate and current.

3.2 Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

Promptly Pay will not be liable for any loss or damage arising from your failure to comply with this Section.

4. Eligibility and User Conduct

4.1 Eligibility

By using our Services, you represent and warrant that you:

  • Are at least 18 years old.
  • Have the legal capacity to enter into a binding contract.
  • Are a resident of the United States or a U.S. territory.

4.2 User Conduct

You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Services in any way that violates any applicable federal, state, local, or international law or regulation.
  • Engage in any activity that is harmful, fraudulent, deceptive, threatening, harassing, defamatory, obscene, or otherwise objectionable.
  • Impersonate or attempt to impersonate Promptly Pay, a Promptly Pay employee, another user, or any other person or entity.

4.3 Service Availability

Promptly Pay's Services are available only to users residing in the United States and its territories. By using our Services, you confirm that you reside in one of the 50 U.S. states or a U.S. territory. We do not offer our Services to users located outside of this area.

5. Fees and Payment Terms

5.1 Fees

Promptly Pay may charge fees for the use of certain Services. All applicable fees will be disclosed to you when you engage in such Services. Fees may include:

  • A processing fee per transaction.
  • Membership or subscription fees, if applicable.
  • Fees for optional services or features.

5.2 Payment of Fees

You agree to pay all fees and charges associated with your use of the Services in a timely manner. Payments are due at the time the service is rendered, unless otherwise stated.

5.3 Third-Party Fees

You are responsible for any fees or charges incurred by third parties (e.g., your bank or payment provider) as a result of transactions initiated through our Services.

6. Invoice Submission and Payment Processing

6.1 Submission of Invoices

You may submit invoices for processing by:

    Taking or uploading a picture of your invoice using our mobile application.

6.2 Processing Times

Promptly Pay mails payments every day of the week, including weekends and federal holidays. Processing times are as follows:

  • First-Class Mail: Payments are printed and mailed within 2-3 calendar days after payment authorization.
  • Priority Mail: Payments are printed and mailed within 1 calendar day after payment authorization.

Please note:

  • Mailing on Saturdays: We mail payments on Saturdays, as USPS operates on this day.
  • Sundays and Certain Federal Holidays: While we prepare payments on Sundays and some federal holidays, USPS does not pick up mail on these days. Payments prepared on such days will be mailed on the next day USPS resumes operations.
  • USPS Operational Schedule: USPS pickup and delivery schedules may affect the delivery times of your payments. Please consider USPS schedules when authorizing payments to ensure timely delivery.

6.3 User Responsibility

You are responsible for submitting invoices well in advance of their due dates. Promptly Pay is not responsible for any late payments resulting from delays in invoice submission, postal delivery, or USPS operational schedules (e.g., Sundays and federal holidays when USPS does not operate).

6.4 Geographical Limitations

Promptly Pay prints and mails payments to payees with mailing addresses within the 50 United States and U.S. territories. We cannot mail checks to:

  • International addresses outside of the United States and its territories.
  • Any address that is not recognized by the United States Postal Service (USPS).

It is your responsibility to ensure that the payee's address is accurate and located within the eligible service area. Promptly Pay will not be liable for any delays or failures in check delivery due to ineligible or incorrect addresses.

6.5 USPS Operations

Promptly Pay prepares payments for mailing every day, including weekends and federal holidays. However, USPS does not pick up or deliver mail on Sundays and certain federal holidays. Payments prepared on these days will be picked up and delivered by USPS on the next day USPS resumes operations.

7. Payment Authorization

By using our Services, you expressly authorize Promptly Pay to:

  • Collect and securely store your bank account information.
  • Collect and securely store your authorized signature.
  • Print and mail checks using your provided signature and bank account information, payable to your designated payees only.
  • Promtply Pay is not authorized to collect payment for services rendered on behalf of any third party.

7.1 Bank Account Linking

You agree to securely link your bank account by manually entering account and routing numbers, or via Plaid where available and provide accurate account and routing numbers necessary for check printing.

7.2 Collection and Use of Signature

You consent to Promptly Pay collecting your signature, either electronically or through other secure means, for the sole purpose of signing checks on your behalf. Your signature will be:

  • Used exclusively for check printing as authorized by you.
  • Stored securely in compliance with applicable laws and industry standards.

7.3 Electronic Signatures

You agree that your electronic signature, including the signature collected for check signing purposes, is the legal equivalent of your manual signature.

7.4 Sufficient Funds

You are responsible for ensuring that sufficient funds are available in your linked bank account to cover the payments you authorize. Promptly Pay is not liable for any fees or charges resulting from insufficient funds.

8. Liability for Late Payments

Promptly Pay will make reasonable efforts to mail your payments promptly. However, we are not responsible for:

  • Delays caused by the postal service or payee's bank processing times.
  • Late fees or penalties assessed by your payees due to delayed payments.

8.1 User Responsibility

You acknowledge that:

  • It is your responsibility to submit payments with adequate time for mailing and delivery.
  • Promptly Pay recommends submitting payments at least 7-10 business days before the due date when using First-Class Mail, and at least 3-5 business days before the due date when using Priority Mail.
  • USPS operational schedules may affect delivery times, especially on Sundays and federal holidays when USPS does not operate.

9. User Information and Verification

9.1 Information Accuracy

You represent and warrant that all information you provide to Promptly Pay is accurate, current, and complete.

9.2 Verification

Promptly Pay reserves the right to:

  • Verify your identity using third-party services like Plaid.
  • Request additional documentation or information to confirm your identity or the validity of your bank account.

9.3 Consent to Verification

By using our Services, you consent to Promptly Pay's use of third-party services to verify your information.

10. Refunds and Error Resolution

10.1 Refund Policy

You may request a cancellation and refund for payments that have not yet been mailed by contacting our Customer Support at support@promptlypay.com. If the check has not been mailed, we will destroy the check and refund your payment in full.

If Promptly Pay fails to make a reasonable effort to mail your payment within the processing times specified in Section 6.2, you may be entitled to a refund of any fees associated with that payment.

10.2 Non-Refundable Payments

Once a check has been mailed or deposited, it cannot be canceled, and any fees are non-refundable. You must contact the payee directly for any disputes or refunds after the check has been mailed.

10.3 Error Resolution

If you believe there has been an error with your payment, contact Promptly Pay Customer Support immediately at support@promptlypay.com. We will investigate and attempt to resolve the issue promptly.

11. Third-Party Services and Links

11.1 Third-Party Services

Promptly Pay utilizes third-party services such as Plaid and Stripe to facilitate certain aspects of the Services. We do not control these third-party services and are not responsible for their actions or omissions.

11.2 Links to Third-Party Sites

Our Services may contain links to third-party websites or resources. Promptly Pay is not responsible for the content, products, or services on or available from those websites or resources.

11.3 User Responsibility

You acknowledge sole responsibility for and assume all risk arising from your use of any third-party services or resources.

12. Indemnification

You agree to indemnify, defend, and hold harmless Promptly Pay, its affiliates, and their respective officers, directors, employees, agents, and representatives from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:

  • Your access to or use of the Services.
  • Your violation of these Terms.
  • Your violation of any rights of a third party.

13. Limitation of Liability

13.1 Disclaimer of Warranties

The Services are provided on an "AS IS" and "AS AVAILABLE" basis. Promptly Pay disclaims all warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

13.2 Limitation of Liability

To the maximum extent permitted by law, Promptly Pay shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly.

13.3 Cap on Liability

In no event shall Promptly Pay's total liability to you exceed the amount of fees paid by you to Promptly Pay in the six (6) months preceding the event giving rise to the liability.

14. Dispute Resolution and Arbitration

14.1 Informal Resolution

Before initiating any arbitration or legal proceeding, you agree to contact Promptly Pay to attempt to resolve any dispute informally. Please contact us at support@promptlypay.com.

14.2 Arbitration Agreement

Any dispute arising out of or relating to these Terms or the Services shall be resolved through binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules.

14.3 Waiver of Class Actions

You agree to waive any right to participate in class actions or class-wide arbitration.

You may opt out of this arbitration agreement by sending written notice to:

15. Electronic Communications and Consent

15.1 Transactional Communications

By using our Services, you consent to receive electronic communications from Promptly Pay relating to your account and the Services. These communications may include confirmations, receipts, notices, and other transactional messages.

15.2 Marketing Communications

With your consent, Promptly Pay may send you marketing and promotional communications via email, push notifications, or other communication channels. You may opt-in to receive such communications by selecting your preferences in your account settings or when prompted during use of the Services.

15.3 Opt-Out

You may opt out of receiving marketing communications at any time by:

  • Clicking the "unsubscribe" link in the email communications.
  • Adjusting your preferences in your account settings.
  • Contacting us at support@promptlypay.com.

Please note that opting out of marketing communications does not affect your receipt of transactional communications related to your account or use of the Services.

15.4 Compliance with Laws

Promptly Pay complies with all applicable laws regarding marketing communications, including the CAN-SPAM Act and the California Consumer Privacy Act (CCPA). We will not share your personal information with third parties for their marketing purposes without your explicit consent.

15.5 Push Notifications

By installing our mobile application, you may receive push notifications. You can control push notifications in your device's settings.

15.6 Withdrawal of Consent

You may withdraw your consent to receive electronic communications by contacting us at support@promptlypay.com. Withdrawal of consent may result in the termination of your access to the Services.

16. Modifications to Services and Terms

16.1 Changes to Services

Promptly Pay reserves the right to modify or discontinue, temporarily or permanently, the Services (or any part thereof) with or without notice.

16.2 Changes to Terms

Promptly Pay reserves the right to modify or update these Terms at any time, in its sole discretion. If we make material changes to the Terms, we will notify you by email, through the Services, or by other means as required by law, at least 30 days before the changes take effect. Your continued use of the Services after the effective date of the updated Terms constitutes your acceptance of the changes. If you do not agree to the new Terms, you must stop using the Services.

17. Governing Law and Jurisdiction

These Terms and any dispute arising out of or relating to them or the Services will be governed by the laws of the State of California, without regard to its conflict of law provisions.

Unless otherwise agreed in arbitration, any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Los Angeles County, California, and the parties hereby consent to personal jurisdiction and venue therein.

18. Entire Agreement and Severability

These Terms, along with our Privacy Policy and any other legal notices published by Promptly Pay, constitute the entire agreement between you and Promptly Pay concerning the Services.

If any provision of these Terms is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions, which shall remain in full force and effect.

20. Additional Provisions

20.1 Force Majeure

Promptly Pay shall not be liable for any failure to perform its obligations hereunder where such failure results from any cause beyond Promptly Pay's reasonable control, including but not limited to mechanical, electronic, or communications failure or degradation.

20.2 Assignment

You may not assign or transfer these Terms or any rights or obligations herein without Promptly Pay's prior written consent. Promptly Pay may assign these Terms without restriction.

20.3 No Third-Party Beneficiaries

These Terms do not and are not intended to confer any rights or remedies upon any person other than the parties.

20.4 Survival

Provisions that by their nature should survive termination of these Terms shall survive, including but not limited to sections related to Indemnification, Limitation of Liability, and Dispute Resolution.

By accessing or using Promptly Pay's Services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
